Please click on the play button to listen to it.<\/p>\n<h2 id='what-is-a-supply-chain'  id=\"boomdevs_1\" style=\"text-align: left;\"><strong>What is a <em>supply chain<\/em>?<\/strong><\/h2>\n<p style=\"text-align: left;\">The <em>supply chain<\/em> refers to the facilities that enable a product and all the material it requires to be manufactured to move from one place to another.\u00a0 Depending on the product and its complexity, the product or its materials can pass through multiple locations.\u00a0 The <em>supply chain<\/em> operated smoothly for a long time.\u00a0 Then the<a href=\"http:\/\/www.irasmithinc.com\/blog\/insolvency-trustee-toronto\/?relatedposts_hit=1&amp;relatedposts_origin=11324&amp;relatedposts_position=0&amp;relatedposts_hit=1&amp;relatedposts_origin=11324&amp;relatedposts_position=0\"><em> COVID-19 pandemic<\/em><\/a> and its effects on the economy struck.<\/p>\n<p style=\"text-align: left;\">This Brandon Blog discusses the current global <strong><em>supply chain<\/em> <em>crisis<\/em><\/strong> and its impact on our recent auction liquidation sale.\u00a0 You might be surprised at the outcome.<\/p>\n<h2 id='snarled-supply-chain-first-was-the-suez-canal-supply-chain-crisis'  id=\"boomdevs_2\" style=\"text-align: left;\"><strong>\u00a0Snarled <em>supply chain<\/em>: \u00a0First was the Suez canal <em>supply chain crisis<\/em><\/strong><\/h2>\n<p style=\"text-align: left;\">This crisis was caused by Ever Given, a 400-meter-long (1,312-foot) container ship that ran aground in the Suez Canal, Egypt, on March 23, 2021. \u00a0Throughout the Suez Canal and around the Cape of Good Hope, billions of dollars in cargo were delayed due to the incident. Worldwide container shipping was impacted by five percent. \u00a0Those Mediterranean ports that rely on the Suez Canal would again face cargo backlogs if the canal were to be cut off in the future.<\/p>\n<p style=\"text-align: left;\">Piraeus handled 5.4 million containers last year, making it the <em>biggest freight port<\/em> in the Mediterranean and the fourth largest in Europe, according to research firm <a href=\"https:\/\/www.porteconomics.eu\/\" target=\"_blank\" rel=\"noopener\">PortEconomics<\/a>. \u00a0The incident has now been resolved, but it shed light on the vulnerability of how raw materials, components, and finished products are transported through chokepoints such as the Suez Canal, which may have severe implications when blocked.<\/p>\n<p style=\"text-align: left;\">As soon as the ship was freed, traffic resumed and <em>container ships<\/em> continued on their voyages.<\/p>\n<figure id=\"attachment_11329\" aria-describedby=\"caption-attachment-11329\" style=\"width: 580px\" class=\"wp-caption aligncenter\"><img loading=\"lazy\" decoding=\"async\" class=\"size-large wp-image-11329\" src=\"http:\/\/www.irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-1024x576.jpg\" alt=\"supply chain crisis\" width=\"580\" height=\"326\" title=\"\" srcset=\"https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-1024x576.jpg 1024w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-300x169.jpg 300w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-768x432.jpg 768w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-1200x675.jpg 1200w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-150x84.jpg 150w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis.jpg 1280w\" sizes=\"auto, (max-width: 580px) 100vw, 580px\" \/><figcaption id=\"caption-attachment-11329\" class=\"wp-caption-text\"><em>supply chain crisis<\/em><\/figcaption><\/figure>\n<h2 id='supply-chain-crisis-port-congestion-in-los-angeles-and-vancouver'  id=\"boomdevs_3\" style=\"text-align: left;\"><em><strong>Supply chain crisis:\u00a0 Port congestion in Los Angeles and Vancouver<\/strong><\/em><\/h2>\n<p style=\"text-align: left;\">The global supply-chain crisis is evident everywhere, from half-empty shelves in grocery stores to soaring fuel prices at the pump.\u00a0 Because <em>container ships<\/em> were anchored off the coast, waiting to dock and unload, <a href=\"https:\/\/www.wsj.com\/articles\/why-container-ships-cant-sail-around-the-california-ports-bottleneck-11632216603?mod=article_inline\" target=\"_blank\" rel=\"noopener\">San Pedro Bay near Los Angeles<\/a> and Burrard Inlet just outside the Port of Vancouver were the poster children for the global <em>supply chain crisis<\/em>.<\/p>\n<p style=\"text-align: left;\">Global manufacturing and transportation systems are impacted by changes in supply and demand.\u00a0 Transportation prices have increased as a result of the huge demand for container shipping, and ports have found it difficult to process incoming goods.<\/p>\n<p style=\"text-align: left;\">Global <em>supply chains<\/em> have been disrupted by the <em>COVID-19 pandemic<\/em>, resulting in <em>product shortages<\/em>, shipping delays, manufacturing disruptions, and soaring prices that have sparked inflation concerns.<\/p>\n<p style=\"text-align: left;\">In addition, companies face an increase in labour and manufacturing costs, forcing them to decide whether to pass on the increases to customers &#8211; and possibly lose market share &#8211; or absorb losses themselves.<\/p>\n<p style=\"text-align: left;\">Raw materials, parts, and consumer goods are at risk because global <em>supply chains<\/em> are at their breaking point.\u00a0 It has become more difficult to operate at certain ports and terminals because vessel capacity is very limited and empty containers are hard to find.<\/p>\n<p style=\"text-align: left;\">The initial lockdown resulted in employees getting laid off. Now there are <em>labour shortages<\/em>.\u00a0 These line operators are now hard to hire back because many have now got better-paying jobs at other companies.\u00a0 There is even a <em>shortage of truck drivers<\/em> to deliver the goods from the <em>major ports<\/em> to the warehouses.<\/p>\n<p style=\"text-align: left;\">The USA&#8217;s largest container port, Los Angeles, continues to unload a backlog of <em>container ships<\/em> around the clock.\u00a0 However, when this machinery is broken, we can experience being out of goods and experiencing back-ordering, which means we cannot get what we want when we want it.<\/p>\n<p style=\"text-align: left;\">Due to the crowded docks and <em>port terminals<\/em>, truckers couldn&#8217;t return empty containers and pick up loaded containers scheduled for delivery.<\/p>\n<h2 id='global-supply-chain-crisis-shoppers-need-to-start-early-for-the-holidays'  id=\"boomdevs_4\" style=\"text-align: left;\"><em><strong>Global supply chain crisis: Shoppers need to start early for the holidays<\/strong><\/em><\/h2>\n<p style=\"text-align: left;\">There are <em>product shortages<\/em> everywhere. Nutella, a <a href=\"https:\/\/www.cnbc.com\/2021\/02\/08\/carmakers-have-been-hit-hard-by-a-global-chip-shortage-heres-why-.html\" target=\"_blank\" rel=\"noopener\"><em>shortage of semiconductors<\/em><\/a> has resulted in a shortage of new cars, steeply higher gas prices, and backorders for holiday gifts such as toys, books, and furniture due to major disruptions in the global supply chain.<\/p>\n<p style=\"text-align: left;\">Holiday shoppers are warned not to leave their<em> holiday shopping<\/em> until the last minute because the shelves may be empty.\u00a0 Presently, there are shortages of the most popular items and stores cannot replenish their inventories for this <em>holiday season<\/em>.<\/p>\n<p style=\"text-align: left;\">What is the cause of this?\u00a0 People bought more goods online during the pandemic lockdown, but fewer services.\u00a0 Except perhaps take-out food delivered to our house, it is much harder to purchase services online.\u00a0 The lockdown also affected manufacturing and transportation, resulting in a global <em>supply chain crisis<\/em>.<\/p>\n<p style=\"text-align: left;\">Just-in-time music stopped and <em>fragile supply chains<\/em> stopped moving, causing the <em>supply chain crisis<\/em>.\u00a0 Due to startup problems, it is now impossible to get everything working smoothly again.\u00a0 With the lockdown over, there is also <em>pent-up demand<\/em> and consumers wanting to make the holidays normal again by getting out shopping in-person to satisfy the <em>elevated demand<\/em>.<\/p>\n<p style=\"text-align: left;\">So what does all this have to do with a liquidation?\u00a0 I will tell you shortly, but first, I will explain what liquidation of a company really means.<\/p>\n<figure id=\"attachment_11329\" aria-describedby=\"caption-attachment-11329\" style=\"width: 580px\" class=\"wp-caption aligncenter\"><img loading=\"lazy\" decoding=\"async\" class=\"size-large wp-image-11329\" src=\"http:\/\/www.irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-1024x576.jpg\" alt=\"supply chain crisis\" width=\"580\" height=\"326\" title=\"\" srcset=\"https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-1024x576.jpg 1024w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-300x169.jpg 300w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-768x432.jpg 768w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-1200x675.jpg 1200w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-150x84.jpg 150w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis.jpg 1280w\" sizes=\"auto, (max-width: 580px) 100vw, 580px\" \/><figcaption id=\"caption-attachment-11329\" class=\"wp-caption-text\"><em>supply chain crisis<\/em><\/figcaption><\/figure>\n<h2 id='involuntary-vs-voluntary-liquidation-of-a-company'  id=\"boomdevs_5\" style=\"text-align: left;\"><strong>Involuntary vs. <em>voluntary liquidation<\/em> of a company<\/strong><\/h2>\n<p style=\"text-align: left;\">Liquidating means selling your property or assets for cash or <em>cash equivalents<\/em> on the open market.\u00a0 Liquidation in the world of investing is when an investor closes out their position in a securities position; exiting an investment.\u00a0 The process of liquidating a business or distributing its <em>assets to claimants<\/em> is termed <em>liquidation in finance<\/em> and economics.<\/p>\n<p style=\"text-align: left;\">Most people on the street would say that a <em>liquidation process<\/em> is the sale of <em>business assets<\/em>, either because the<em> business owner<\/em> is closing or going bankrupt. \u00a0It is possible for businesses to do a <em>partial liquidation<\/em> of slow-moving or unnecessary assets even without facing financial hardship.<\/p>\n<p style=\"text-align: left;\">When a <em>limited company<\/em>&#8216;s liabilities exceed its assets, or when its bills cannot be paid when they fall due, the company is <a href=\"http:\/\/www.irasmithinc.com\/blog\/bankruptcy-protection\/?relatedposts_hit=1&amp;relatedposts_origin=11324&amp;relatedposts_position=1&amp;relatedposts_hit=1&amp;relatedposts_origin=11324&amp;relatedposts_position=1\">insolvent<\/a>. \u00a0It will be forced to liquidate the assets through <em>insolvency proceedings<\/em>. \u00a0Financial institutions are normally <em>secured creditors<\/em>. This allows them to enforce their security through receivership. \u00a0The assets that were pledged as collateral would be taken over by a receiver, whether appointed privately or by the court.<\/p>\n<p style=\"text-align: left;\">A corporate <em>bankruptcy filing<\/em> is also an alternative, or perhaps in conjunction with a receivership.\u00a0 Either way, the entity is forced to convert assets to cash and cease operations through <em>insolvency proceedings<\/em>, a <em>legal process<\/em>.<\/p>\n<p style=\"text-align: left;\">A company that fails to repay creditors due to financial hardship, will end up in receivership and\/or the <em>bankruptcy process<\/em>. \u00a0This results in <em>compulsory liquidation<\/em>, also known as <em>involuntary liquidation<\/em>.<\/p>\n<p style=\"text-align: left;\">Alternatively, the shareholders of a non<em>-insolvent company<\/em> may decide there is now a <em>period of time<\/em> where winding up operations through <em>voluntary liquidation<\/em> proceedings makes sense.\u00a0 Perhaps there was an insurmountable shareholder dispute, or maybe the company&#8217;s operating genius shareholder passed away.<\/p>\n<p style=\"text-align: left;\">Besides providing the capital to start the company, other shareholders were passive.\u00a0 As a result, the shareholders may decide to wind down the solvent company on their own volition while there is still value for them.<\/p>\n<h2 id='paying-off-creditors'  id=\"boomdevs_6\" style=\"text-align: left;\"><em><strong>Paying off creditors<\/strong><\/em><\/h2>\n<p style=\"text-align: left;\">In either case, after assets have been liquidated, the cash is distributed to creditors first.\u00a0 The shareholders are entitled to the remaining net amount after paying liquidation costs and creditor claims.<\/p>\n<p style=\"text-align: left;\">Regardless of whether the company is insolvent or solvent, \u00a0in general, the <em>priority of claims<\/em> from an asset liquidation tends to fall into the following classes of claims:<\/p>\n<ol style=\"text-align: left;\">\n<li>Trust claims\u00a0 &#8211; either by contract or statute.<\/li>\n<li><em>Secured creditors<\/em>.<\/li>\n<li>Ordinary <em>preferential creditors<\/em>.<\/li>\n<li>Ordinary <em>unsecured creditors<\/em>.<\/li>\n<\/ol>\n<p style=\"text-align: left;\">After full payment of all <em>outstanding debts<\/em> from the<em> liquidation of assets<\/em> in their <em>priority of claims<\/em>, regardless if it was voluntary or through <em>insolvency proceedings<\/em>, the remaining funds will be distributed to the shareholders according to their share priority (preferred vs. common) and the proportion of shares they own in the company.<\/p>\n<figure id=\"attachment_11329\" aria-describedby=\"caption-attachment-11329\" style=\"width: 580px\" class=\"wp-caption aligncenter\"><img loading=\"lazy\" decoding=\"async\" class=\"size-large wp-image-11329\" src=\"http:\/\/www.irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-1024x576.jpg\" alt=\"supply chain crisis\" width=\"580\" height=\"326\" title=\"\" srcset=\"https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-1024x576.jpg 1024w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-300x169.jpg 300w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-768x432.jpg 768w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-1200x675.jpg 1200w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis-150x84.jpg 150w, https:\/\/irasmithinc.com\/blog\/wp-content\/uploads\/2021\/11\/supply-chain-crisis.jpg 1280w\" sizes=\"auto, (max-width: 580px) 100vw, 580px\" \/><figcaption id=\"caption-attachment-11329\" class=\"wp-caption-text\"><em>supply chain crisis<\/em><\/figcaption><\/figure>\n<h2 id='2021-global-supply-chain-crisis-and-my-liquidation-story'  id=\"boomdevs_7\" style=\"text-align: left;\"><strong>2021 <em>global supply chain crisis<\/em> and my liquidation story<\/strong><\/h2>\n<p style=\"text-align: left;\">I have so far only focused on consumer buying patterns.\u00a0 A similar process is occurring in the commercial and industrial sectors as well.\u00a0 As more people have received the <a href=\"http:\/\/www.irasmithinc.com\/blog\/calculate-hst\/?relatedposts_hit=1&amp;relatedposts_origin=11324&amp;relatedposts_position=2&amp;relatedposts_hit=1&amp;relatedposts_origin=11324&amp;relatedposts_position=2\"><em>Covid-19 vaccine<\/em><\/a>, <em>federal government<\/em> support has essentially stopped and <em>economic growth<\/em> is coming back, it is difficult for businesses to find the inputs needed to make their products.\u00a0 This is the basis for the story I am going to tell you.<\/p>\n<p style=\"text-align: left;\">Shareholder resolutions appointed my firm as Liquidator of two sister companies under section 193(1) of the<em> <a href=\"https:\/\/www.ontario.ca\/laws\/statute\/90b16\" target=\"_blank\" rel=\"noopener\">Ontario Business Corporations Act<\/a><\/em>.\u00a0 A furniture manufacturer specializing in custom contract orders for commercial use.\u00a0 The other company owned the factory property.<\/p>\n<p style=\"text-align: left;\">As a result of an unresolved shareholder dispute, the shareholders decided that the best thing to do was to liquidate the solvent manufacturing company, while they could still obtain value for themselves.\u00a0 Having made that decision, it was obvious that selling the Toronto property was also a wise move in today&#8217;s market.<\/p>\n<p style=\"text-align: left;\">The manufacturing company had operated for over 50 years.\u00a0 The company&#8217;s equipment was fully depreciated.\u00a0 We contacted two auctioneers who each submitted a proposal.\u00a0 Each explained why they predicted a low gross recovery.\u00a0 Both proposals were presented to the shareholders, who chose the auctioneer they preferred us to retain.<\/p>\n<p style=\"text-align: left;\">An online auction was conducted for two weeks.\u00a0 Initially, neither the number of bidders nor the bids were very high.\u00a0 After about a week, the magic happened and we saw a <em>surge in demand<\/em>.\u00a0 The consequences of the <em>supply chain crisis<\/em>\u00a0became apparent. As the number of bidders increased, so did the bids.<\/p>\n<p style=\"text-align: left;\">We ended up with a gross recovery last week that quadrupled both auctioneers&#8217; estimates.\u00a0 There was no doubt that the old equipment and delivery truck, which all worked fine, were in great demand.\u00a0 In fact, the vehicle&#8217;s black book value was much lower than its actual sale price.<\/p>\n<p style=\"text-align: left;\">Nevertheless, if you need that kind of truck and equipment and dealers do not have either new or used available, then historical trading values may be somewhat meaningless when there is only one available source.<\/p>\n<p style=\"text-align: left;\">Without a doubt, we are thrilled with the results of the liquidation auction.\u00a0 As soon as the buyers pay for their goods and pick them up, we will have a clean factory so that we can close the sale of the property next month.<\/p>\n<p style=\"text-align: left;\">Thank you, global<em> supply chain crisis<\/em> 2021!<\/p>\n<h2 id='supply-chain-crisis-summary'  id=\"boomdevs_8\" style=\"text-align: left;\"><strong><em>Supply chain crisis<\/em> summary<\/strong><\/h2>\n<p style=\"text-align: left;\">I hope you found this\u00a0<em>supply chain crisis<\/em> Brandon Blog informative.
